# Terms of Use
> The agreement between you and Goaly when you use the protocol.

These Terms of Use ("Terms") govern your access to and use of the Goaly protocol, the Goaly web
app at [app.goaly.fun](https://app.goaly.fun), its documentation, APIs, and related interfaces
(together, the "Service"). The Service is operated by the Goaly team ("Goaly", "we", "us"). Please
read these Terms carefully.
Goaly is **not gambling**. It is a **skill-based, no-loss** football prediction protocol: your
staked principal is always returned to you, and prizes are funded solely by the yield your stake
earns. You cannot lose the money you stake because of a wrong prediction. See
[Not gambling and no loss of principal](#7-not-gambling-and-no-loss-of-principal) below.
## 1. Acceptance of these terms
By accessing or using the Service, you agree to be bound by these Terms and by our
[Privacy Policy](/privacy) and [Risk Disclosure](/risk). When you first use the app you may be asked
to **sign an acceptance message** with your wallet; signing that message, or otherwise continuing to
use the Service, constitutes your acceptance of these Terms as of version **2026-07-01**.
If you do not agree to these Terms, do not access or use the Service.
## 2. Description of the service
Goaly is a **no-loss football prediction protocol** deployed on **Arbitrum One**. In plain terms:
* You stake **USDT** (on-chain, the token is **USD₮0**) on the outcome of a football match.
* Your staked **principal is always returned to you in full**, whether your prediction is right or
wrong.
* While a match is live, staked principal sits in an ERC-4626 vault that earns yield through
[Morpho](https://morpho.org).
* The **prize pool is funded purely by that yield** — not by other players' stakes. Winners split
the yield; principal is never redistributed.
The Service is a set of **smart contracts** and interfaces that let you interact with them. Goaly
provides software; it does not take custody of your funds, act as a broker or exchange, or hold your
principal on your behalf.
## 3. Eligibility
To use the Service, you represent and warrant that:
* You are at least **18 years old** (or the age of majority in your jurisdiction, if higher).
* You are **not** located in, resident in, or a citizen of any country or region subject to
comprehensive sanctions, and you are **not** a person or entity named on any sanctions or
restricted-party list.
* Your use of the Service is **not prohibited** by the laws of your jurisdiction, including any laws
restricting prediction markets, skill-based gaming, or the use of digital assets.
* You are not accessing the Service on behalf of any restricted or sanctioned person.
You are responsible for determining whether your use of the Service is lawful where you are, and for
complying with all applicable laws.
## 4. Your wallet and self-custody
The Service uses a **self-custodial embedded wallet**. Keys are **derived from your signature** and
held on your device; you may also connect your own external wallet.
Goaly is **non-custodial**. We never hold, control, or have access to your private keys, seed, or
funds. Because keys are derived on your device and never sent to us, **we cannot recover your
wallet or funds** if you lose access to them.
You are solely responsible for:
* Safeguarding the device, signature, or credentials used to derive or access your wallet.
* All activity that occurs through your wallet, including every transaction you sign.
* Ensuring you retain the means to re-derive or restore access to your wallet.
If you lose access to your wallet, or if it is compromised, your funds may be **permanently
inaccessible**. Goaly cannot reverse transactions or restore lost access.
## 5. Not financial or investment advice
Nothing on the Service is financial, investment, legal, tax, or accounting advice. Goaly does not
recommend that you make any prediction, stake any amount, or use any digital asset. All decisions you
make are **your own**. You should conduct your own research and consult qualified professionals before
using the Service. See the [Risk Disclosure](/risk).
## 6. Smart-contract and third-party risk
The Service depends on **smart contracts** and **third-party protocols and infrastructure** that
Goaly does not control, including but not limited to:
* **Morpho** and its underlying lending markets, where staked principal earns yield.
* **Tether / USD₮0** and **USDC** as the stablecoins used for stakes and yield.
* **LayerZero** and Circle **CCTP** for cross-chain movement of surplus (prize funds).
* **RPC providers**, indexers, bridges, and hosting used to reach the network.
Smart contracts may contain bugs or be exploited; third-party protocols may fail, be paused, be
exploited, or change. These risks are outside Goaly's control, and you accept them by using the
Service. See the [Risk Disclosure](/risk) for details.
## 7. Not gambling and no loss of principal
Goaly is designed as a **skill-based, no-loss prediction protocol**, not a gambling product:
* Your **staked principal is always redeemable 1:1** and returned to you in full — this is enforced
on-chain as a solvency invariant.
* A **wrong prediction never costs you your stake**; you only miss that round's yield-funded prize.
* Prizes are funded **exclusively by the yield** earned on pooled principal, never by the loss of
another player's stake.
Because you cannot lose your principal by predicting, the Service does not involve wagering your
stake against loss. Nonetheless, availability may be restricted where prediction or skill-gaming
activities are regulated or prohibited (see [Eligibility](#3-eligibility)).
## 8. Acceptable use
You agree not to:
* Use the Service for any unlawful purpose, including money laundering, sanctions evasion, or fraud.
* Attempt to exploit, attack, or interfere with the smart contracts, APIs, or infrastructure.
* Use the Service if you are barred under [Eligibility](#3-eligibility).
* Misrepresent your identity, location, or eligibility.
## 9. As-is; no warranty
The Service is provided **"as is"** and **"as available"**, without warranties of any kind, whether
express, implied, or statutory. Goaly disclaims all warranties, including merchantability, fitness
for a particular purpose, title, and non-infringement.
Goaly does not warrant that the Service will be uninterrupted, secure, error-free, or free of
harmful components, or that any defect will be corrected. You use the Service at your own risk.
## 10. Limitation of liability
To the maximum extent permitted by law, Goaly and its contributors, developers, and affiliates will
**not be liable** for any indirect, incidental, special, consequential, exemplary, or punitive
damages, or for any loss of profits, funds, digital assets, data, or goodwill, arising out of or
relating to your use of (or inability to use) the Service — whether based on contract, tort, strict
liability, or any other theory, and even if advised of the possibility of such damages.
To the extent liability cannot be fully excluded, Goaly's aggregate liability to you is limited to
the greater of the amount you paid Goaly (if any) to use the Service or **USD 100**.
## 11. Indemnification
You agree to indemnify, defend, and hold harmless Goaly and its contributors, developers, and
affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal
fees) arising out of or related to your use of the Service, your violation of these Terms, or your
violation of any law or the rights of any third party.
## 12. Changes to these terms
We may modify these Terms from time to time. When we do, we will update the **version** and
**effective date** at the top of this page. Material changes may also be surfaced in the app as a new
**acceptance message** to sign. Your continued use of the Service after changes take effect
constitutes acceptance of the updated Terms. The current version is **2026-07-01**.
## 13. Governing law and dispute resolution
These Terms are governed by the laws of **\[Jurisdiction]**, without regard to its conflict-of-laws
rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the
courts or by the arbitration procedure of **\[Jurisdiction]**, and you consent to that forum.
**Placeholder:** the Goaly team must set the governing-law jurisdiction and dispute-resolution
venue above (shown as **\[Jurisdiction]**) before publishing these Terms for production use.
## 14. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you
and Goaly regarding the Service and supersede any prior agreements.
